Board Charter. The purpose of this charter is to amplify certain aspects of the Board’s duties and responsibilities. The charter does not provide a list of such duties or responsibilities nor does it replace any applicable requirement or prescription in the Companies Act, the LuSE Listings Requirements, the Memorandum and Articles of Association or other applicable Zambian law.
Committee Charter
The Committee Charter has the authority to undertake the specific duties and responsibilities listed below and will have the authority to undertake such other specific duties as the Board may from time to time prescribe. The Committee shall have authority to engage independent counsel and other advisers, as it determines necessary to carry out its duties.
Code of Ethics
Code of Ethics. Zamefa code of ethics document outlines the mission and values of the business or organization, how professionals are supposed to approach problems, the ethical principles based on the organization’s core values and the standards to which the professional is held.
